the wonder’s terms and conditions
For us the utmost importance is our talent’s wellbeing. We therefore want to ensure that all our clients treat our wonders with respect, care and kindness. The following general terms and conditions apply for the wonder’s customers (the “Customer”) that contract talents from the wonders (below the “Model”). The terms apply from the time of the booking of the Model (the “Contract Booking”) and for all Customer content that includes the Model (the “Customer Content”).
Customer obligations
All bookings of Model must be agreed upon in advance between the wonders and Customer. No agreements, whether written or oral, or other consents may be entered into between Customer and Model without the involvement of the wonders.
The Customer shall ensure the safety, health and wellbeing of the Model at all times during the Contract Booking, the Customer shall comply with applicable health and safety laws, standards and good practice. The Customer shall provide the Model with an appropriate changing and dressing area in private. The Customer shall allow the Model to take regular breaks; food, water and snacks must be provided.
The Customer shall not photograph or film the Model nude, semi-nude or in see-through clothing without the prior written approval of the wonders. The same applies for swimwear or lingerie.
The Customer Content shall not depict the Model in any way which is unflattering or embarrassing to the Model. The Customer Content must in no event be pornographic or derogatory in nature.
Behind-the-scenes-recording is only permitted where it has been agreed in advance with the wonders in written. In any event any behind-the-scenes-recording shall only take place when the Model is hair-and-make-up ready.
Photographing and filming in extreme weather conditions shall be informed at the time of the booking of the Model to enable appropriate preparations.
the wonders will transfer personal data about the Model to Customer. The Customer acknowledges and agrees that it will be the processor of such data after it has been received. Further the Customer guarantees that it will process the data in accordance with GDPR legislation.
It follows from the legal obligation of the wonders under these terms that the wonders will process data about the Customer in order to fulfil its obligations towards Customer.
The Customer undertakes to procure and maintain sufficient insurance to cover all and any liabilities that the Customer can incur in relation to the wonders and the Model.
Working hours and payment
The workday begins at the Model’s arrival to set for the Contract Booking and includes hair and make-up and/or any other preparations or waiting time (except for 1 hour lunch break). The Model shall be paid the full agreed fee even if the Customer finishes early.
The model fee is charged by the day or by the hour, depending on the agreement between the Customer and the wonders. Full- and half days shall have the following meaning:
Full day bookings, adults:
- Studio: 9 hours including 1 hour lunch break.
- Location:10 hours including 1 hour lunch break.
Half day bookings, adults:
- Studio: 4 hours. A full day is charged as soon as the 5th hour begins.
- Location: half day shoots on location in Stockholm and its surroundings are 5 hours.
- A full day is charged as soon as the 6th hour begins.
- Location work that requires longer travel, full day fees are charged.
Overtime for adults is payable at 1.5 times the hourly rate, based on a 9 hour work day, unless otherwise agreed to. It is charged as soon as ¼ of an hour exceeds the amount of 9 hours.
Working hours for minors under the age of 16 shall comply with applicable Swedish law on youth labor.
Weather and down days: 50% of day rate per down day or weather day and must be prediscussed when possible.
Travel day over 5 hours may be charged with 50% of the agreed day rate.
Swim and lingerie shoots need to be discussed in advance and approved by the wonders. A possible extra fee may apply.
Unless otherwise agreed upon, the Customer shall pay all expenses, including but not limited to ticket, accommodation and driver for the Model to the location of the work.
When the agency makes travel arrangements these are invoiced at cost plus a service charge based on 10% of the agency’s expenses.
the wonders is not liable for delayed or canceled flights.
All fees are subject to a 20% agency fee. VAT and agreed expenses will be added where applicable.
Invoices are to be paid in full within 15 days of the date of invoice. Delayed payment is subject to interest rate according to Swedish law. For late payment a SEK60.00 administrative fee is charged. If the invoice is handed over to a collection agency or enforcement authority for payment, these will charge separately.
If requested by the Customer the wonders can invoice a third party, but the Customer remains ultimately responsible for payment.
Advance payment may be required for a new Customer. If advance payment is required a proof of money transfer needs to be emailed no later than noon the day before the first working day for the Contract Booking or in case the Models must travel, the day before the Model departs. If proof of payment cannot be shown, the wonders reserve the right to cancel the booking.
Customer rights
The material as a result of a Contract Booking with Model may only be used as agreed upon with the wonders. The material (including the face and the name of the Model) must not be used in any other context than for the use that has been agreed at the booking.
Any additional usage must be negotiated and accepted by the wonders prior to any such use.
Exclusivity enables the Customer to ensure that the Model has not and will not be allowed to do work for other companies or products, this must be explicitly notified by Customer and agreed with the wonders upon the booking of the Model.
Re-usage never includes any right to exclusivity but can be negotiated.
Model and agency rights
The Customer agrees that the wonders and Model may use the Customer Content with Model in all media for the purpose of promoting the Model and the wonders. This promotion includes but is not limited to the wonders’ website, Model’s portfolio, set cards and social media/internet pages.
Cancellation and complaints
Cancellation by Customer
Cancellation more than 48 hours prior to first working day is without charge. Cancellation more than 24 hours prior to first working day is charged at 50% of a day fee. Cancellation within 24 hours of first working day is charged at a full day fee.
For bookings of 3-days or more, including possible travel days, cancellations must be done at the latest 72 hours prior to departure to avoid charge. Cancellations more than 48 hours prior to departure is charged at 50% of day fee. Cancellations within 48 hours of departure are charged at full day fee.
Cancellation by agency
Should the wonders need to cancel the Model, the agency shall make every effort to find an adequate substitute for the Customer.
Force Majeure
the wonders shall not be responsible for any cancellations, direct/indirect damages or costs caused by pandemic, strike, labour disturbances, fire, flood, riot, act or ordinance of any governmental or local authority, terrorism, or by any other cause beyond the reasonable control of the wonders (a “Force Majeure Event”)
Complaints and Disclaimers
Any complaints need to be notified to the wonders at the day of the Contract Booking or as soon as it arises. Complaints cannot be considered and/or dealt with effectively after the work has been carried out by the Model. Whilst the wonders will use its best endeavors to ensure that the Model provides a satisfactory and efficient work to Customer, the wonders, as an agency, cannot be held responsible for Model’s conduct or behavior. the wonders can not be held liable for any costs, expenses or losses suffered as a consequence of the behavior or conduct of the Model.
Breach of the Terms
The Customer shall indemnify and hold the wonders harmless from any and all claims, damages, liabilities, costs and expenses (including reasonable attorney’s fee) arising out of a breach by the Customer of these terms and conditions. the wonders shall promptly notify the Customer in writing of any claim or litigation to which this indemnification applies, and Customer shall have the right to assume the defense of any such claim or litigation.
A breach of these terms and conditions does not give a suffering party the right to consequential damages; neither of the parties are liable to compensate a suffering party for its indirect costs arising out of the breach by the party of any warranty, representation or other material term or provision of these terms and conditions.
Confidentiality
Neither the Customer nor the wonders shall disclose to any third party (other than its respective employees, in their capacity as such) any information with respect to the Contract Booking, the Model, the work and the Customer Content, unless
- to the extent necessary to comply with any law or a valid order of a court of competent jurisdiction, in which event the party making such disclosure shall so notify the other and shall seek confidential treatment of such information.
- in order to enforce or exercise its rights.
Jurisdiction
These terms and conditions shall be interpreted and implemented in accordance with the laws of Sweden. Any dispute in connection with the terms shall be settled by the City Court of Stockholm as the first instance.
